1. Name of the Association

The name of the Association is "ECLECTIE" (hereinafter - the Association).

2. Objectives of the Association

The objectives of the Association are:

  1. To promote favorable conditions in the field of intellectual growth and professional development;
  2. To promote the creation of communities of people who value personal qualities above positions or status;
  3. To develop and strengthen a network of professionals from different fields of activity in order to foster mutual assistance and implementation of joint projects;
  4. To support and implement various projects by actively involving the capabilities of each member;
  5. To create a platform for implementation and promotion of members' ideas in various fields;
  6. To organize events, conferences, and meetings to share experience, knowledge, and resources among members;
  7. To develop a culture of active participation in public life by promoting mutual interaction and cooperation among members;
  8. To promote the creation and development of professional and creative contacts with similar organizations and communities worldwide;
  9. To achieve its objective, the Association will engage various specialists and interested persons from all over the world;
  10. To cooperate with state and municipal institutions, as well as non-governmental organizations.

3. Term of Activity of the Association

The Association is established for an indefinite period.

4. Joining, Leaving, and Expulsion of Members from the Association

Any legally capable natural and legal person or legal-capacity personal partnership may join the Association by submitting a written application in the prescribed form. The application form and the list of documents to be attached are determined by the Board of the Association.

The applicant must submit a list of their professional and personal qualities, skills, and knowledge so that it can be assessed how they could contribute to the development and support of the Association. The submitted information will be used to assess the applicant's potential contribution to the Association and compliance with the Association's objectives.

An applicant with a questionable reputation, or whose participation may harm the reputation or prestige of the Association, may not join the Association.

The decision on admitting a member to the Association is taken by the Board. The Board must review the applicant's request at the nearest meeting, but no later than two weeks from receipt of all required documents. The applicant must be invited to the Board meeting where their request is considered and given the floor to express their opinion. The applicant's non-attendance is not an obstacle to the Board's decision.

The Board must notify the applicant of a reasoned decision in writing - electronically to the applicant's indicated email address or by post - within one week from the date of the decision.

The applicant may appeal the Board's refusal decision in writing to the general meeting of members. The complaint addressed to the general meeting of members must be submitted to the Board - electronically to the Association's email address or by post to the Association's legal address - within ten days from the date the Board's refusal decision was sent.

If the general meeting of members also rejects the applicant's request, the applicant is not admitted as a member of the Association and may submit a repeated application no earlier than after the expiry of one year.

A member may leave the Association at any time by notifying the Board in writing, electronically to the Association's email address or by post to the Association's legal address.

A member may be expelled from the Association by a Board decision if:

  1. the member does not comply with decisions of the general meeting and the Board;
  2. the member does not fulfill their duties and assumed obligations;
  3. the member has not paid the membership fee for more than 3 (three) months;
  4. the member performs other actions that are contrary to the provisions of these statutes;
  5. the member, by action or inaction, harms the reputation or prestige of the Association.

5. Rights and Duties of Members

The issue of expelling a member of the Association is reviewed by the Board at the nearest meeting, inviting the member to be expelled and giving them the floor to express their opinion. The non-attendance of the member to be expelled is not an obstacle to the Board's decision. The Board must notify the member to be expelled in writing of the decision on expulsion from the Association and the reasoning of that decision - electronically to the member's indicated email address or by post - within five days from the date of the decision.

Members of the Association have the following rights and duties:

Obligations for a member may be established by a decision of the members' meeting or the Board. When assigning obligations to a member that differ from obligations of other members, the consent of that member is required.

  1. Rights: to participate in the governance of the Association,
  2. Rights: to receive information on the activities of the Association, including access to protocols, decisions, and orders of all institutions of the Association,
  3. Rights: to participate in all events organized by the Association, submit proposals on the activities of the Association and their improvement, and defend one's opinion,
  4. Rights: to use all services offered and financed by the Association.
  5. Duties: to observe the statutes of the Association and comply with decisions of the members' meeting and the Board,
  6. Duties: to support implementation of the Association's objective and tasks through active participation,
  7. Duties: to uphold the good name of the Association and avoid conduct that harms the reputation or prestige of the Association.

6. Structural Units of the Association

By decision of the members' meeting, territorial and other structural units of the Association may be established;

The operation, rights and duties of structural units, as well as relations with the Association, are regulated by the structural unit regulations approved by the members' meeting of the Association.

7. Convening of Members' Meetings and Decision-Making

The members' meeting is the highest decision-making institution of the Association.

All members of the Association are entitled to participate in the members' meeting. Members may participate only in person, either onsite or remotely online. Information about the possibility to participate online using remote communication methods is provided at the same time as the convening notice of the members' meeting.

The regular members' meeting is convened - once a year - no later than March 31.

An extraordinary members' meeting may be convened at the initiative of the Board, or if requested in writing by at least one tenth of the Association's members, indicating the reason for convening.

The members' meeting is convened by sending each member a written invitation no later than two weeks before the meeting, electronically to the member's indicated email address or by post.

The members' meeting has a quorum if more than half of the members participate, onsite or remotely online.

If the members' meeting lacks quorum, a repeated members' meeting is convened within five weeks, and it is entitled to make decisions regardless of the number of members present, provided that at least two members participate.

A decision of the members' meeting is adopted if more than half of the present members voting onsite or remotely vote in favor.

A decision on amendments to the statutes, termination, and continuation of the Association's activity is adopted if more than two thirds of the present members voting onsite or remotely vote in favor.

8. Executive Body

The executive body of the Association is the Board, consisting of two Board members elected from among members for 3 (three) years.

The Board is entitled to decide on all matters that are not within the exclusive competence of the members' meeting.

Each Board member has the right to represent the Association separately.

A Board member performs their duties without remuneration.

9. Auditor

Control of the financial and economic activity of the Association is carried out by an auditor elected by the members' meeting for one year.

The auditor of the Association may not be a Board member of the Association.

The auditor:

  1. conducts an audit of the Association's assets and financial resources;
  2. provides an opinion on the Association's budget and annual report;
  3. evaluates the Association's accounting and record-keeping work;
  4. provides recommendations for improvement of the Association's financial and economic activity;
  5. performs audits within the time limits set by the members' meeting, but not less than once a year;
  6. the members' meeting approves the Association's annual report only after receiving the Auditor's opinion.

10. Membership Fee

Members of the Association pay a membership fee, the amount and payment procedure of which is determined by the members' meeting in the "Regulation on Membership Fee".
